If you are simply changing your key to a pro-key, it will just enable a few locked features. I don't think you need to uninstall Classic Shell.
If you are doing a full in-place upgrade, it may be a better idea to uninstall first.

i did a full upgrade from w7 ult to w8 pro; keeping classic shell installed and it worked fine for me :P
it makes me sad that they just ditched most of the 'ultimate' features, since they decided not to make an ultimate version, they should have just included them in pro

Btw, note that even if it worked, this scenario is not a supported one of upgrading Windows. It's better to uninstall Classic Shell and reinstall it again so the OS-specific components are installed and OS-specific defaults too.

One problem when upgrading from Win7 to Win8 is that Classic Shell doesn't install the service when running on Win7. So when you upgrade, the start menu will be launched using the Run registry key, which has 10-second delay on Win8. It will still work, but will start slower.

thats odd, i dont even think mine started slower, but i think that i may have updated classic shell right around the same time which probably erased the problem before i had a chance to see it (i gave metro screen a chance.. XD)
